These Terms and Conditions (the “Agreement”) constitute a legally binding commercial contract between ForgeCo.AI LLC, an Alabama Limited Liability Company (“the Company,” “the Provider”), and the commercial entity accessing or utilizing the SaaS platform (“the Client,” “the User,” “the Business”). By accessing the platform infrastructure, establishing a commercial account, or utilizing the telecommunication services, the User explicitly agrees to be fully bound by the legal terms detailed herein.
SMS Program Disclosure
Program Name: ForgeCo.AI Service Communications
Program Description: The program delivers automated business communications for trade service companies including appointment reminders, missed call notifications, estimate follow-ups, invoice follow-ups, and review requests.
Message Frequency: Message frequency varies based on your interactions with the business.
Costs: Message and data rates may apply. The Company does not charge the end-consumer for receiving texts, but standard network rates and data tariffs from the individual’s mobile carrier will apply.
Opt-Out: To stop receiving messages, reply STOP to any message. A final confirmation message will be sent, and no further SMS communications will be transmitted to that device.

Section 1. Description of Services and AI Acknowledgment
The Company provides an advanced, AI-powered business automation platform designed specifically for the operational needs of local trade service businesses. The platform utilizes algorithmic workflow automation and artificial intelligence to facilitate business operations and customer communications.
AI Output Disclaimer
The platform utilizes advanced generative artificial intelligence models (provided via subprocessor Anthropic AI) to draft, parse, and process contextual communications. While the technology is rigorously designed for high fidelity, generative AI outputs are inherently probabilistic and non-deterministic. The Company does not warrant the absolute accuracy, factual completeness, or contextual perfection of AI-generated messages. The User bears the ultimate and sole responsibility for verifying the accuracy of all automated estimates, invoices, and scheduling communications prior to their final execution or transmission to end-consumers.
Section 2. A2P 10DLC Messaging Program Operations
The platform facilitates the automated transmission of Short Message Service (SMS) communications to the User’s end-consumers. This functionality is governed by strict federal telecommunications laws and cellular network carrier requirements.

Section 3. SMS Opt-In, Opt-Out, and Consent Requirements
3.1. Voluntary Consent
Consent to receive SMS messages is strictly voluntary. Furthermore, consent to receive marketing or informational text messages is not required as a condition of purchasing any property, goods, or services.
3.2. Opt-Out Instructions
End-consumers may cancel their enrollment in the SMS service at any time. To opt out, the recipient must reply STOP to the originating phone number. Upon receiving the STOP command, a final network confirmation message will be transmitted, and no further SMS communications will be sent to that device.
3.3. Help Instructions
For immediate automated network assistance regarding the messaging program, recipients may reply HELP to the originating phone number. Additional support is available by emailing support@forgeco.ai or calling (205) 236-7583.
3.4. User Obligations for Consent
The User represents and strictly warrants that they have obtained legally compliant, explicit Prior Express Written Consent (PEWC) on an individual one-to-one basis from all end-consumers before inputting their telephone numbers into the platform. The User assumes all absolute liability for violations of the Telephone Consumer Protection Act (TCPA) or cellular carrier regulations resulting from the unauthorized uploading of consumer contact data.
Section 4. Telecommunications Disclaimers
The transmission of SMS communications relies upon complex cellular networks operated by third-party mobile telecommunications carriers over which the Company exerts no control.
4.1. Carrier Liability
Carriers are not liable for any delayed or undelivered messages. The Company cannot guarantee continuous, uninterrupted, or perfectly timed delivery of text messages, as such delivery is entirely subject to the effective transmission capabilities of the respective network operator.
Section 5. Privacy Integration
The collection, processing, storage, and protection of all data collected through the platform are strictly governed by the Company’s Privacy Policy. The Privacy Policy explicitly outlines the absolute prohibition of sharing originator opt-in data and details the compliant utilization of third-party infrastructure subprocessors.

Section 6. Service Availability and Limitation of Liability
6.1. Service Availability
The Company strives to maintain optimal high availability of the platform. However, the software and telecommunications services are provided strictly on an “AS IS” and “AS AVAILABLE” basis. The Company explicitly disclaims all warranties, whether express or implied by statute, including but not limited to the implied warranties of merchantability, fitness for a particular commercial purpose, and non-infringement.
6.2. Limitation of Liability
To the maximum extent permitted by applicable commercial law, in no event shall ForgeCo.AI LLC, its parent holding company (Forge Holdings LLC), its directors, employees, or authorized subprocessors be held liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of business profits, commercial goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the platform.
6.3. Liability Cap
Under no circumstances will the total cumulative financial liability of the Company, for any and all claims arising out of or related to this Agreement, exceed the total amounts actually paid by the User to the Company during the three (3) month period immediately preceding the specific event giving rise to the liability.
Section 7. Indemnification
The User agrees to defend, fully indemnify, and hold harmless the Company, its parent entities, corporate affiliates, and technology partners (including but not limited to Twilio and Anthropic AI) from and against any formal claims, liabilities, damages, judgments, awards, financial losses, costs, expenses, or legal fees (including reasonable attorneys’ fees) arising out of or relating to the User’s material violation of these Terms and Conditions. This explicit indemnification includes, but is not limited to, any claims brought by end-consumers regarding the unauthorized transmission of SMS messages resulting from the User’s failure to obtain proper, documented statutory consent prior to utilizing the platform.
Section 8. Governing Law and Jurisdiction
8.1. Governing Law
This Agreement, and any disputes, tort claims, or contractual disagreements arising out of or related to this Agreement or the commercial use of the platform, shall be governed by, construed, and enforced strictly in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
8.2. Venue
Any legal suit, action, or commercial proceeding arising out of, or related to, these Terms and Conditions or the software platform shall be instituted exclusively in the federal courts of the United States or the state courts of the State of Alabama, located specifically within the jurisdiction of Birmingham, Alabama. The User explicitly waives any and all objections to the exercise of jurisdiction over them by such courts and to venue in such courts.
Section 9. Modifications to the Agreement
The Company reserves the right, at its sole commercial discretion, to formally modify or replace these Terms and Conditions at any time to reflect structural changes in regulatory environments, particularly updates to federal telecommunications law, FCC consent rules, or A2P 10DLC cellular carrier requirements. Continued commercial use of the platform following the posting of any substantive changes to this Agreement constitutes binding legal acceptance of those modifications.
